HILL-KELLY LAWSUIT

Hill-Kelly Dodge is denying claims made in a civil lawsuit that Malinda Fiveash, the president, CEO and majority shareholder of the dealership, as well as Hill-Kelly Dodge itself and HKD Properties, breached their fiduciary duties. Cheryl Green, a Tennessee woman who owns the minority stake in Hill-Kelly Dodge, filed the lawsuit and alleges that Fiveash engaged in self-dealing by renting one of her own properties to the dealership at above-market rates, accepting compensation and bonuses above industry standards and failed to hold shareholder meetings or pay Green dividends. Hill-Kelly has denied any wrongdoing and said the company provided Green’s family with regular updates on its operations and financial status, and substantial compensation.
